Announcement under Regulation 30 (LODR)-Acquisition Further to our intimation dated March 29 2023 and pursuant to Regulation 30 of Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations 2015 (Listing Regulations) we wish to inform that Godrej Properties Limited (the Company) has further increased its stake in equity share capital of Godrej Home Constructions Limited (formerly known as Godrej Home Constructions Private Limited) (GHCL) from 74% to 100%. Pursuant to the said acquisition GHCL has become a Wholly Owned Subsidiary of the Company with effect from June 02 2023. |

Announcement under Regulation 30 (LODR)-Acquisition Please note that pursuant to the order of the Honble National Company Law Tribunal (NCLT) dated March 16 2023 approving the Scheme of Amalgamation of Yujya Developers Private Limited (YDPL) - an associate entity of Godrej Properties Limited (GPL or the Company) with Madhuvan Enterprises Private Limited (MEPL) MEPL has on May 30 2023 allotted 8 52 40 683 Equity Shares of Rs. 1 each aggregating to 20% paid up capital of MEPL. MEPL has therefore become an associate entity of GPL w.e.f. May 30 2023. |
